Terms of Service

Contextra grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business purposes, subject to these Terms.

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell, sublicense, or redistribute access to the Service without written consent
• Use automated means (bots, scrapers) to access the Service beyond normal API usage
• Transmit malicious code, spam, or content that infringes third-party rights

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized access at security@contextra.xyz.

You represent that you have the right to connect any repositories or content you provide to the Service, and that such content does not violate any third-party rights, licences, or confidentiality obligations.

The Service uses artificial intelligence to optimize prompts and generate suggestions. AI-generated outputs may be inaccurate, incomplete, or unsuitable for your specific use case. Contextra does not warrant the accuracy, quality, or fitness for purpose of any AI-generated content.

You are solely responsible for reviewing, validating, and determining the appropriateness of any output before use in production systems. Do not rely on AI outputs for critical decisions without independent verification.

The Service, including its interface, algorithms, branding, and documentation, is owned by Contextra and protected by intellectual property laws. Nothing in these Terms transfers ownership of any Contextra IP to you.

You retain all rights to content you submit to the Service (prompts, code, repository data). By submitting content, you grant Contextra a limited licence to process that content solely to provide the Service. We do not claim ownership of your content.

Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by applicable law or as specified below:

• Annual plans: eligible for a pro-rated refund within 14 days of purchase if you have not materially used the paid features
• Monthly plans: no refunds for partial months; you may cancel at any time and retain access until the end of the billing period
• Free tier: no payment required; usage is subject to rate limits defined on our Pricing page

We reserve the right to modify pricing with 30 days' written notice. Price changes do not apply retroactively to active annual subscriptions.

To the maximum extent permitted by applicable law, Contextra and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total aggregate liability to you for any claim arising from these Terms or the Service shall not exceed the greater of (a) the amount you paid Contextra in the 12 months preceding the claim, or (b) USD $100.

You agree to indemnify and hold harmless Contextra from any claims, damages, losses, and expenses (including legal fees) arising from your breach of these Terms, your use of the Service, or your violation of any third-party rights.

You may cancel your account at any time through your account settings. We reserve the right to suspend or terminate your account, with or without notice, if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent or abusive behaviour
• Fail to pay outstanding amounts after reasonable notice

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination before deletion, unless required by law to retain it longer.

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

We may revise these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
